Acceptance of these Terms

These Terms of Service (“Terms”) govern your use of Kodey. By accessing or using Kodey — whether as a guest or with an account — you agree to these Terms. If you do not agree, please do not use the service.

The service

Kodey is a browser-based code editor with related services, including the Code Library, cloud sync for signed-in users, Share Links, File Drop and the optional Kodey Pro subscription. Kodey is intentionally a focused editor, not a full IDE. Features may be added, changed or removed over time as the product evolves.

Guest use and accounts

Some Kodey functionality — including the editor itself — can be used without an account, with content stored locally in your browser. Creating an account enables features such as cloud sync and access to your Code Library across devices.

You are responsible for maintaining the security of your account and sign-in credentials, and for activity that occurs under your account. If you believe your account has been compromised, contact Kodey Support promptly.

Your content

You retain ownership of the code and content you create, save or upload to Kodey. We do not claim ownership of your work.

To operate the service, you grant Kodey the limited permissions reasonably necessary to store, process, display, synchronize and share your content — only as required to provide the features you use, and only for as long as needed to provide them.

Public sharing

When you create a Share Link or File Drop, you are intentionally making the selected material accessible to anyone who has the link, according to the settings you choose. You are responsible for ensuring you have the rights and permission to share that content, and for what you choose to make accessible.

Acceptable use

Your use of Kodey is also governed by our Acceptable Use Policy, which is part of these Terms. It covers prohibited behavior such as distributing malware, phishing, harassment and abuse of the service or its sharing features.

Intellectual property

Kodey’s own software, branding, site design and original product materials are protected by applicable intellectual-property laws and remain the property of Kodey’s operator. Your content remains yours, as described above. These Terms do not transfer ownership in either direction.

Kodey Pro subscriptions

Kodey Pro is a paid subscription that unlocks additional features. Monthly and annual billing options may be offered; current pricing is always shown on the pricing page and at checkout. Subscriptions renew automatically unless cancelled.

Payments are processed by Stripe. Cancellation and refunds are governed by our Refund & Cancellation Policy.

Cancellation

You can cancel Kodey Pro at any time. Cancelling does not delete your code: your documents, folders and library content remain yours. When a cancelled subscription reaches the end of its paid period, your account returns to Free behavior and Pro-only features become unavailable — but your content stays accessible according to the product rules described in the Refund & Cancellation Policy.

Service availability

We work to keep Kodey fast and available, but we do not guarantee uninterrupted service. Kodey may be changed, updated, maintained or temporarily interrupted — for example, for maintenance, security work or infrastructure issues. We are not liable for downtime or data unavailability except as required by applicable law.

Backups and your responsibility

Kodey provides local and cloud storage features, but no storage system is infallible. You remain responsible for keeping your own copies of critical code where appropriate. Do not rely on Kodey as the only copy of work you cannot afford to lose.

Termination and suspension

We may restrict, suspend or terminate access to Kodey — including removing content or revoking links — where reasonably necessary, for example in response to violations of these Terms or the Acceptable Use Policy, security threats, illegal activity, abuse of the service, or nonpayment where applicable. Where practical, we will aim to act proportionately and give notice, but immediate action may be taken where required to protect the service or others.

You may stop using Kodey at any time.

Disclaimer of warranties

To the extent permitted by applicable law, Kodey is provided “as is” and “as available,” without warranties of any kind, whether express, implied or statutory — including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted, error-free or completely secure.

Limitation of liability

To the extent permitted by applicable law, Kodey and its operator will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data or lost goodwill, arising from or related to your use of the service. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Kodey and its operator from claims, damages and expenses arising out of your misuse of the service, your violation of these Terms, or content you provide or share that infringes the rights of others.

Governing law

These Terms are governed by the laws of the jurisdiction in which Kodey’s operator is established, without regard to conflict-of-law principles. This section will be updated with the specific governing law and venue once the operating entity’s jurisdiction is formally confirmed.

Changes to these Terms

We may update these Terms as Kodey evolves. When we do, we will revise the “Last updated” date at the top of this page, and for significant changes we may provide additional notice in the product. Your continued use of Kodey after an update means you accept the revised Terms.
